About These Terms

These Terms & Conditions ("Terms") govern your access to and use of Rundown ("we", "us", "our"), including rundown.be, our application, and any related services. Rundown is operated by placeholder_legal_entity_name, registered at placeholder_legal_entity_address, company number placeholder_company_registration_number.

By creating an account, accessing, or using Rundown, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that organisation, and "you" refers to that organisation. If you do not agree to these Terms, you must not use the service.

The Service

Rundown is a multi-tenant project management platform that lets you and your colleagues plan and track projects, tasks, time entries, costs, charts and reports, and optionally synchronise data with third-party tools such as Atlassian Jira.

  • Workspaces. Your data is organised into a workspace isolated from every other customer's data. You are responsible for the configuration of, and activity within, your workspace.
  • Updates. We continuously improve the service and may add, change, or remove features. We will not materially reduce the core functionality of a paid plan during a billing term without notice.
  • Beta features. We may offer features marked as beta, pilot, or preview. These are provided "as is", may change or be discontinued, and are excluded from any service commitments.

Accounts and Registration

To use Rundown you must create an account or be invited to a workspace. You agree to:

  • provide accurate, current and complete information when you register, and keep it up to date;
  • keep your login credentials confidential and not share your account with others;
  • be responsible for all activity that occurs under your account;
  • notify us promptly at legal@rundown.be if you suspect any unauthorised use of your account.

Workspace administrators are responsible for managing the users they invite, including assigning roles and removing access when it is no longer required. You must be at least 16 years old to use Rundown.

Acceptable Use

When using Rundown, you agree that you will not:

  • use the service in violation of any applicable law or regulation, or infringe the rights of any third party;
  • upload or transmit malware, or otherwise interfere with or disrupt the integrity or performance of the service;
  • attempt to gain unauthorised access to the service, other workspaces, or the systems or networks connected to it;
  • reverse engineer, decompile, or attempt to extract the source code of the service, except to the extent permitted by law;
  • resell, sublicense, or make the service available to third parties outside your organisation without our written consent;
  • use the service to store or transmit content that is unlawful, harmful, defamatory, or otherwise objectionable.

We may suspend or limit access to the service if we reasonably believe these rules are being breached or that continued use poses a security or legal risk.

Your Content

You and your colleagues retain all rights to the data, files, and materials you create or upload to your workspace ("Customer Content"). We do not claim ownership of Customer Content.

You grant us a limited, worldwide, non-exclusive licence to host, store, process, and transmit Customer Content solely as necessary to provide and maintain the service, including making backups and synchronising with integrations you enable. We do not use Customer Content to train machine-learning models.

You are responsible for ensuring that you have the necessary rights and permissions to upload Customer Content and that doing so does not violate any law or third-party rights. Our handling of personal data is described in our Privacy Policy.

Plans, Billing and Payment

Rundown is offered under various plans. Some features are only available on paid plans, and access to those features depends on your active plan and any applicable entitlements.

  • Fees. Paid plans are billed in advance on the cycle shown at checkout (e.g. monthly or annually). Unless stated otherwise, fees are exclusive of applicable taxes.
  • Pilots and trials. If your workspace is on a pilot or trial, paid features may be available for a limited period. After it ends, access to those features may be restricted until you select a paid plan.
  • Renewals. Subscriptions renew automatically for successive terms unless cancelled before the end of the current term.
  • Late or failed payment. If a payment fails, we may suspend access to paid features until the outstanding amount is settled.
  • Changes to fees. We may change our fees, with notice taking effect at the start of your next billing term.

Payments are processed by our payment processor placeholder_payment_processor. Except where required by law, fees are non-refundable.

Third-Party Integrations

Rundown can connect to third-party services, such as Atlassian Jira, at your option. When you enable an integration, you authorise us to exchange data with that service on your behalf in order to keep your data in sync.

Your use of any third-party service is governed by that provider's own terms and privacy policy. We are not responsible for third-party services, their availability, or any changes they make to their APIs. Disabling an integration may stop data from syncing but does not delete data already exchanged.

Intellectual Property

The Rundown service, including its software, design, branding, and documentation, is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business purposes during the term of your subscription. You may not copy, modify, distribute, or create derivative works of the service except as expressly permitted.

If you provide us with feedback or suggestions, you grant us the right to use them without restriction or obligation to you.

Availability and Support

We aim to keep Rundown available and performing well, but we do not guarantee that the service will be uninterrupted or error-free. The service may be temporarily unavailable due to maintenance, updates, or factors outside our control.

We provide support by email at legal@rundown.be and through in-app channels. Any specific availability or support commitments will be set out in a separate service-level agreement where applicable.

Disclaimers

To the maximum extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will meet your requirements, that defects will be corrected, or that the service is free of viruses or other harmful components. You are responsible for maintaining your own copies of critical data where appropriate.

Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the service.

Our total aggregate liability arising out of or related to these Terms will not exceed the amounts you paid to us for the service in the placeholder_liability_cap_period immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by negligence, or for fraud.

Indemnification

You agree to indemnify and hold us harmless from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of or related to your Customer Content, your use of the service in breach of these Terms, or your violation of any law or third-party right.

Term and Termination

These Terms apply for as long as you use the service. You may stop using Rundown and close your workspace at any time.

  • Termination by you. You may cancel your subscription effective at the end of the current billing term.
  • Termination by us. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or use the service in a way that creates legal or security risk.
  • Effect of termination. On termination, your right to use the service ends. We may delete or anonymise Customer Content after a reasonable period in accordance with our Privacy Policy, unless retention is required by law.

You can request an export of your data before termination by contacting legal@rundown.be.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, our practices, or applicable law. The "Effective date" at the top of this page indicates when the Terms were last revised.

For material changes that affect your rights, we will notify you in advance by email or through an in-app notice. Continued use of Rundown after the changes take effect constitutes acceptance of the updated Terms.

Governing Law and Disputes

These Terms are governed by the laws of Belgium, without regard to its conflict-of-laws rules. The courts of placeholder_competent_courts have exclusive jurisdiction over any dispute arising out of or related to these Terms, without prejudice to any mandatory consumer protection rights you may have.
